Specific scope, deliverables, timelines, and pricing for any engagement are agreed separately (via proposal, order form, or written/email confirmation) and form part of these Terms.
2. Eligibility
By using the Site or Services, you confirm that you are at least 18 years old and have the legal authority to enter into an agreement on behalf of yourself or the business you represent.
3. Engagement and Payment Terms
- Services are provided on the basis of the plan, package, or custom proposal agreed with the client.
- Payment terms (upfront, monthly, or milestone-based) will be specified at the time of engagement. Monthly/subscription services are billed in advance for each billing cycle unless otherwise agreed.
- Late or failed payments may result in suspension or termination of Services.
- All fees are exclusive of applicable taxes unless stated otherwise.
4. Client Responsibilities
To deliver Services effectively, we may require timely access to your website, hosting, ad accounts, analytics, content, approvals, or other information. Delays in providing access or feedback may affect project timelines and results, and we are not responsible for delays caused by the client.
5. Results and Performance Disclaimer
SEO, advertising, and digital marketing outcomes (such as rankings, traffic, leads, or conversions) depend on factors outside our control, including search engine algorithms, market competition, ad platform policies, and industry conditions. We do not guarantee specific rankings, results, revenue, or timelines. Any figures shared during consultations are estimates based on experience, not guarantees.
6. Intellectual Property
All content, branding, and materials on the Site belong to Ask Deepak Tiwari unless otherwise stated. Deliverables created specifically for a client (e.g., content, website, ad creatives) become the client’s property upon full payment, unless otherwise agreed in writing. We retain the right to showcase completed work in our portfolio, case studies, or marketing materials, unless the client requests confidentiality in writing.
7. Confidentiality
We treat client business information, account access, and campaign data as confidential and will not share it with third parties except as necessary to deliver the Services or as required by law.
8. Third-Party Platforms
Services may involve third-party platforms (e.g., Google, Meta, LinkedIn, WordPress, Shopify, Wix, email service providers). We are not responsible for outages, policy changes, account suspensions, or other issues caused by these third-party platforms.
9. Limitation of Liability
To the maximum extent permitted by law, Ask Deepak Tiwari shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising from the use of the Site or Services. Our total liability for any claim relating to the Services shall not exceed the amount paid by the client for the specific Service giving rise to the claim.
10. Termination
Either party may terminate an ongoing engagement with prior written notice as agreed at the time of engagement (commonly 15–30 days for monthly services). Fees paid for work already completed or in progress are non-refundable, in line with our Refund Policy.
11. Governing Law
These Terms are governed by the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts in Chandigarh, India.
12. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with a revised “Last Updated” date. Continued use of the Site or Services after changes are posted constitutes acceptance of the updated Terms.
